General Terms and Conditions

By purchasing or participating in any coaching programme, you agree to these Terms.
1. Definitions
In these Terms:
Agreement means the agreement between Healthy Nutshell and the Client.
Client ("you", and "your") means any natural person purchasing Services for personal, non-business purposes from Healthy Nutshell.
Healthy Nutshell means a sole proprietorship registered with the Dutch Chamber of Commerce under number 96551747, with its registered address at Helmholtzstraat 71 2, 1098 LG Amsterdam. In these Terms "Healthy Nutshell", "we", "us", and "our" refer to the business identified herein.
Materials means, including but not limited to, all guides, PDFs, recipes, meal plans, presentations, recordings, templates, documents and other content made available by Healthy Nutshell.
Services means all coaching services, programmes, training sessions, accountability support, educational materials, meal plans, downloadable resources, recordings and related services provided by Healthy Nutshell.
Website means the Healthy Nutshell website, https://www.healthynutshell.com/
2. Applicability
2.1 These Terms apply to all offers, quotations, Agreements and Services offered and provided by Healthy Nutshell, including any related digital materials and support provided as part of the coaching programme.
2.2 These Terms govern the relationship between Healthy Nutshell and clients who purchase Services. By signing, accepting, purchasing, or otherwise entering into the Agreement, or by requesting or permitting Healthy Nutshell to commence the Services, the Client confirms acceptance of these Terms.
2.3 Any deviation from these Terms shall only be valid if agreed in writing.
2.4 If any provision of these Terms is invalid or unenforceable, the remaining provisions shall remain in full force and effect.
2.5 In case of conflict between these Terms and the specific terms of Agreement, the terms of Agreement shall prevail.
3. Services
3.1 Healthy Nutshell provides online health coaching services, which consist of a 16-week coaching programme, unless agreed otherwise in writing, designed to support Clients in developing healthier eating habits, lifestyle habits and sustainable behaviour change.
3.2 Where applicable, the Services may include:
- one-to-one coaching sessions;
- group coaching sessions;
- accountability support;
- educational training sessions;
- meal plans;
- recipes;
- downloadable resources;
- recordings of group training sessions; and
- access to a private online community.
3.3 Sessions are delivered online, primarily via Google Meet, with phone calls only as a backup where needed. Group trainings may be scheduled at fixed times. Individual coaching calls are scheduled separately using the online booking system designated by Healthy Nutshell.
3.4 Healthy Nutshell reserves the right to modify schedules, delivery methods, platforms, coaches, speakers, programme content or programme structure where reasonably necessary, provided that the overall nature of the Services remains substantially unchanged.
4. Nature of the Services
4.1 Healthy Nutshell provides non-medical Services. Healthy Nutshell is a certified health coach and is not a licensed doctor, physician, registered dietitian, nutritionist, psychologist, psychotherapist, therapist or other licensed healthcare professional. The Services are intended for general education, accountability, habit support, mindset support, and lifestyle coaching only. Healthy Nutshell will perform the Services with reasonable care and skill as expected of a certified health coach.
4.2 The Services, materials, meal plans, recipes, coaching sessions, messages, group sessions, and digital downloads provided by Healthy Nutshell:
- do not constitute medical advice;
- do not constitute psychological or psychiatric advice;
- do not constitute diagnosis, treatment, or prevention of any disease or medical condition;
- do not replace care from a licensed physician, dietitian, therapist, psychologist, or other qualified healthcare professional.
Healthy Nutshell does not diagnose, treat, cure or prevent any disease, medical condition or mental health condition. You should always seek advice from a qualified medical professional regarding any medical condition, symptoms, diagnosis, treatment, medication, pregnancy, allergies, intolerances, eating disorder concerns, or other health-related issue.
4.3 The Client acknowledges that participation in the programme is voluntary and that the Client is responsible for obtaining medical clearance where appropriate before implementing any recommendations relating to nutrition, exercise, supplementation, lifestyle changes or other health-related matters. The Client acknowledges that any dietary, lifestyle, exercise or behavioural changes may involve inherent risks and agrees to participate entirely at their own risk.
4.4 The Client remains solely responsible for all healthcare decisions and for obtaining medical advice where appropriate.
5. Intake and Client Eligibility
5.1 Participation is subject to completion of an intake process.
5.2 Services are not intended for minors.
5.3 Healthy Nutshell does not provide coaching to pregnant women or to persons with certain medical or psychological conditions where coaching would not be appropriate, including where licensed medical or therapeutic support is required.
5.4 Healthy Nutshell reserves the right to refuse any application, acting reasonably and in good faith, where the Client is not a suitable fit for the programme or where participation would create health, safety, ethical, or professional concerns. Healthy Nutshell may refuse participation where:
- the Services are not suitable for the Client;
- the Client's objectives are unrealistic;
- the Client presents medical or psychological conditions requiring specialist care;
- participation could pose health or safety risks; or
- Healthy Nutshell reasonably believes another professional would be better suited to assist the Client.
5.5 The Client warrants that information provided during the intake process is accurate, complete and not misleading.
5.6 Healthy Nutshell is entitled to rely on information provided by the Client and shall not be responsible for consequences arising from inaccurate, incomplete or misleading information provided by the Client.
6. Client Responsibilities
6.1 To participate in the coaching programme, you agree to:
- actively participate in the programme;
- attend scheduled sessions;
- provide accurate information;
- promptly inform Healthy Nutshell of relevant changes to health circumstances; and
- follow applicable instructions regarding programme participation.
6.2 The Client acknowledges that outcomes depend substantially upon the Client's own efforts, decisions and consistency.
7. No Guarantee of Results
7.1 Healthy Nutshell does not guarantee any particular result from the coaching programme.
7.2 Individual outcomes vary and depend on many factors, including your personal history, consistency, effort, behavioural changes, devotion, communication, physical condition, lifestyle, and circumstances outside Healthy Nutshell's control.
7.3 Any examples, testimonials, or statements about possible outcomes are illustrative only and do not amount to a promise or guarantee.
8. Fees and Payment; Refund Policy
8.1 The programme fee shall be the amount stated in the invoice, proposal or programme description. Any bank charges or transfer costs are your responsibility unless mandatory law provides otherwise.
8.2 Unless otherwise agreed in writing, full payment must be received before the commencement of the Services. Healthy Nutshell is not required to provide any Services, grant access to programme materials or provide community access until payment has been received in full.
8.3 Except where the Client validly exercises a statutory right of withdrawal under Clause 9, programme fees are non-refundable once the programme has commenced. No refund shall be provided for missed sessions, lack of participation, or if the Client chooses to discontinue participation before the end of the programme. Healthy Nutshell may, at its sole discretion, offer a partial refund, programme credit or alternative arrangement in exceptional circumstances.
9. Scheduling, Cancellations and Withdrawal
9.1 Individual coaching sessions must be booked by the Client during the programme term using the booking method designated by Healthy Nutshell. Group sessions or trainings may be held at fixed times communicated in advance. You are responsible for booking your individual sessions within the programme period where booking access is provided. Healthy Nutshell is not responsible if you fail to schedule or attend available sessions during the agreed programme period.
9.2 Coaching sessions may be rescheduled by the Client with at least twenty-four (24) hours' written notice. If you give at least 24 hours' notice, the session may be rescheduled once, subject to availability within the programme period.
9.3 If you cancel with less than 24 hours' notice, arrive late, or fail to attend a scheduled session:
- Healthy Nutshell may treat the session as used;
- if you arrive late, the session may be shortened accordingly;
- if you do not attend, the session may be forfeited.
Healthy Nutshell may reschedule sessions where reasonably necessary due to illness, family circumstances, technical issues or other unforeseen events. In that case, a replacement session will be offered where reasonably possible. Healthy Nutshell is not liable for delays or disruptions caused by internet issues, platform outages, or other technical problems outside its reasonable control.
9.4 If the Agreement is concluded at a distance, you may withdraw from the Agreement within fourteen (14) calendar days of its conclusion ("withdrawal period").
9.5 If you expressly request Healthy Nutshell to commence the coaching programme during the withdrawal period, and you subsequently exercise the right of withdrawal before the Services have been fully performed, you shall pay a proportionate amount for the Services provided up to the moment of withdrawal.
9.6 Where Healthy Nutshell supplies digital materials electronically during the withdrawal period, you acknowledge that your right of withdrawal will be lost in respect of such digital materials. Healthy Nutshell will obtain the consents and acknowledgements before providing digital content or commencing services during the withdrawal period.
10. Term and Termination
10.1 The coaching programme has a fixed duration. The programme term commences upon receipt of full payment by Healthy Nutshell and continues for sixteen (16) weeks thereafter (unless agreed otherwise), regardless of the number of coaching sessions attended by the Client. Any missed coaching sessions, periods of inactivity, holidays, travel, illness or reduced participation by the Client shall not suspend, extend or restart the programme term unless Healthy Nutshell expressly agrees otherwise in writing.
10.2 Healthy Nutshell may immediately suspend or terminate participation where:
- the Client provided false or misleading information, or relevant health information was withheld;
- the Client behaves abusively or disruptively;
- continued participation is no longer appropriate; or
- the Client breaches these Terms.
10.3 Programme fees already paid shall not be refunded following termination under clause 10.2.
11. Digital Content and Community Access
11.1 Access to private communities, recordings and programme resources is personal and non-transferable.
11.2 Healthy Nutshell may remove a Client from any community platform where behaviour is inappropriate, offensive or disruptive.
11.3 Community access ends upon completion or termination of the programme unless otherwise stated.
12. Intellectual Property
12.1 All intellectual property rights relating to the Services and Materials and other downloadable content remain the exclusive property of Healthy Nutshell or its licensors.
12.2 The Client receives a limited, personal, non-exclusive, non-transferable licence to use the Materials solely for personal use.
12.3 The Client shall not copy, reproduce, distribute, sell, sublicense, publish, share with third parties or commercially exploit any Materials without prior written consent.
12.4 Downloadable Materials may be retained by the Client for personal use only.
12.5 Any unauthorised use of Healthy Nutshell's intellectual property is a material breach of the Agreement and may lead to immediate termination of access and legal action.
13. Recordings
13.1 Healthy Nutshell may record group training sessions and make recordings available to programme participants. By participating in recorded group sessions, Clients acknowledge that their name, voice or image may be captured in such recordings.
13.2 Individual 1:1 coaching calls are not routinely recorded by Healthy Nutshell.
13.3 Clients may not record coaching sessions, group sessions or programme content without the prior written consent of Healthy Nutshell and other participants.
14. Testimonials and Photographs
14.1 Healthy Nutshell may ask clients to provide testimonials, written feedback, progress stories, or other marketing-related content. Healthy Nutshell shall only use testimonials, photographs, progress pictures or other marketing content with the Client's prior consent.
14.2 The Client may withdraw such consent at any time, subject to reasonable processing time.
15. Confidentiality
15.1 Healthy Nutshell will treat information shared by the Client with appropriate care and confidentiality, subject to applicable law, practical business operations, and the use of third-party service providers. Healthy Nutshell shall take reasonable measures to maintain confidentiality but cannot guarantee absolute confidentiality where third-party communication systems or technology platforms are used.
15.2 Clients must also respect the confidentiality and privacy of other participants in any group setting or private community. Information shared by other participants may not be copied, disclosed, or shared outside the group.
16. Limitation of Liability
16.1 Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
16.2 Healthy Nutshell shall only be liable for direct damages resulting from a failure to perform its contractual obligations.
16.3 Healthy Nutshell shall not be liable for any lack of expected results; decisions made by you based on coaching content; loss caused by incomplete, inaccurate, or withheld information from you; medical, psychological, nutritional, or health consequences arising from your personal circumstances; acts or omissions of third-party providers or platforms; indirect or consequential loss, including loss of opportunity, loss of data, emotional distress, or reputational harm.
16.4 Healthy Nutshell's total liability arising out of or in connection with the Agreement, whether in contract, tort, or otherwise, is limited to the amount actually paid by you for the specific Service giving rise to the claim. If part of the Services has already been delivered, any liability shall in any event be limited to the portion of the fee attributable to the affected part of the Service.
16.5 The Client acknowledges that all health, nutrition and lifestyle decisions remain the Client's own responsibility.
17. Force Majeure
17.1 Healthy Nutshell shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to illness, internet failures, platform outages, power interruptions, government measures or family emergencies.
17.2 In such circumstances, Healthy Nutshell may suspend, reschedule, or reasonably modify performance of the affected Services.
18. Complaints
18.1 Complaints should be submitted in writing to Healthy Nutshell within a reasonable period after the relevant event.
18.2 Healthy Nutshell shall make reasonable efforts to address complaints promptly and amicably. The Client shall give Healthy Nutshell a reasonable opportunity to investigate and remedy any complaint before initiating legal proceedings.
18.3 Submitting a complaint does not suspend your payment obligations unless applicable law provides otherwise.
19. Privacy
Healthy Nutshell processes personal data in accordance with its Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR).
20. Governing Law and Dispute Resolution
20.1 These Terms and any Agreement are governed exclusively by Dutch law.
20.2 The parties shall first attempt to resolve disputes, arising out of or in connection with these Terms, the Services, or the Agreement, amicably.
20.3 Any dispute that cannot be resolved amicably shall be submitted to the competent court as determined under applicable law.
